Transfer through dealer same as an out right sale?

No, using a dealer doesn't count against your 4 FTFs. You can do as many as you want through a dealer.

Whether the gun is MA compliant or not is irrelevant to your original question. Obviously if you are trying to transfer something that isn't compliant and the dealer does not want to do the transfer, then using a dealer obviously will not work.

Is it legal for the dealer to do the transfer?

The dealer cannot do the transfer per CMRs. But if they do, there is no liability to the buyer.
